Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ancor Technologies ("Ancor," "we," "us," or "our"), governing your access to and use of the Ancor OS platform at getancor.com and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must not use the Service.

2. Description of Service

Ancor OS is a project management and agency operations platform designed for creative agencies. The Service includes:

• Project and task management
• Time tracking and timesheet management
• Team and resource capacity planning
• Client management and reporting
• Analytics and performance insights
• Team collaboration and communication tools
• AI-powered inbox analysis (optional Gmail/Outlook integration)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
• You are responsible for all activities that occur under your account.
• You must be at least 16 years old to create an account.
• One person may not maintain more than one free trial account.

4. Free Trial

We may offer a free trial period of 14 days ("Trial Period") for new users. During the Trial Period:

• You have access to all features of the Service.
• No payment information is required to start a trial.
• At the end of the Trial Period, your workspace becomes read-only unless you subscribe to a paid plan.
• Your data is retained in that read-only state for 30 days after trial expiration, after which it becomes eligible for permanent deletion.
• We reserve the right to modify or terminate the free trial offer at any time.

5. Subscription and Payment

• Access to the full Service beyond the Trial Period requires a paid subscription.
• Subscription fees are as listed on our pricing page or as agreed upon in a separate order form.
• All fees are non-refundable except as required by applicable law or as specified in a separate agreement.
• We reserve the right to change pricing with 30 days' written notice. Price changes will not apply to the current billing period.
• You are responsible for all applicable taxes associated with your use of the Service.
• Payments are processed securely through our payment processor, Razorpay. By purchasing a subscription, you also agree to Razorpay's applicable terms.

6. Your Data

• Ownership: You retain all rights to the data you upload, create, or input into the Service ("Your Data"). We do not claim ownership of Your Data.
• License: You grant us a limited, non-exclusive license to use, process, and display Your Data solely to provide and improve the Service.
• Responsibility: You are responsible for the accuracy, legality, and appropriateness of Your Data.
• Backups: While we maintain regular backups, you are encouraged to maintain your own copies of critical data.
• Data Export: You may export Your Data at any time through the Service's built-in export functionality.
• Deletion: Upon account termination, we will delete Your Data in accordance with our Privacy Policy. Deleted accounts have a 30-day restore window, after which data is permanently removed.

7. AI-Assisted Outputs

Parts of the Service generate content with AI: project plans, estimates, client reports, and tax computations, among others. These outputs are decision support, not professional advice.

• You must review AI-generated plans, estimates, reports, and tax computations before relying on them or sending them to anyone.
• AI outputs can be wrong, incomplete, or out of date. You are responsible for verifying figures, dates, and legal or tax conclusions before acting on them.
• Ancor is not liable for losses arising from reliance on AI-generated output that you did not review.

8. Workspace Analytics and Your Team

The Service records work patterns for team-health features: task timing, login and work sessions (including an outside-business-hours indicator), self-reported wellbeing check-ins, wellbeing scores, burnout-risk indicators, and estimate-accuracy metrics. This data is visible to your workspace's admins and owners.

As the customer, you are the data controller (and, under Indian law, the data fiduciary) for your team's workspace data. You are responsible for informing your team members that this processing happens and for having a lawful basis for it. Ancor processes this data on your behalf to provide the features. 9. Acceptable Use and User Content

You are responsible for all content you and your team upload to the Service, including its accuracy and legality. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Upload content that infringes on intellectual property rights of others
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems
• Interfere with or disrupt the Service's infrastructure or other users' access
• Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission
• Resell, sublicense, or redistribute the Service without our written consent
• Upload malicious software, viruses, or harmful code
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam, unsolicited communications, or phishing attempts
• Impersonate any person or entity

If you believe content on the Service is unlawful or infringes your rights, report it to [email protected]. We may remove content that is unlawful or violates these Terms, and we reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

10. Intellectual Property

• The Service, including its design, code, features, documentation, logos, and trademarks, is owned by Ancor Technologies and protected by intellectual property laws.
• Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Service as permitted.
• The Ancor name, logo, and all related marks are trademarks of Ancor Technologies. You may not use them without our prior written consent.

11. Third-Party Integrations

The Service may integrate with third-party services (e.g., Gmail, Outlook). Your use of such integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the practices or content of third-party services. Our use of Gmail data complies with the Google API Services User Data Policy.

12. Service Availability and Support

• We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service.
• Scheduled maintenance will be communicated in advance where possible.

• We aim to respond to support requests within 24 business hours.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Service will be error-free, secure, or available at all times.
• In no event shall Ancor Technologies be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount paid by you to us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Ancor Technologies, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

• You may terminate your account at any time by contacting us at [email protected].
• We may terminate or suspend your account if you violate these Terms, with or without prior notice.
• Upon termination, your right to use the Service ceases immediately.
• Provisions that by their nature should survive termination (intellectual property, limitation of liability, indemnification) shall survive.
• We will handle Your Data after termination as described in our Privacy Policy.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ancor Technologies regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Our failure to enforce any right shall not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
• Force Majeure: We shall not be liable for failures due to circumstances beyond our reasonable control.
